1. The parties, and who the plan is for
1.1 This contract is between Telfluent Israel, a registered sole trader owned by Shpigel Nadav Shimon, D-U-N-S number 626522543 ("the service"), and the Organization. The Organization is the business that opened the account and joined the Enterprise plan, not its arms and not the workers.
1.2 In this contract "we" and "Telfluent" are the service, and "you" is the Organization.
1.3 The Enterprise plan ("ארגונים") is for organizations and staffing companies. The service is provided to businesses only. The Organization confirms that it enters this contract as a business, for the needs of its business.

2. The service and its nature
2.1 Telfluent interprets telephone calls automatically and in real time. The number 09-376-1076 is for talking with someone standing next to you, on one phone, on speaker. The number 09-376-1100 is for talking with someone on another phone.
2.2 The interpreting is done by machine, not by a human interpreter.
2.3 It is a communication aid. It is not certified translation, it is not for legal or medical matters, and it is not for emergencies. In an emergency dial 100, 101 or 102.
2.4 Anything critical — safety, wages, a medical matter — you verify yourselves in another way. Do not rely on the interpretation alone.
2.5 The service is for lawful use only. Do not use it for harassment, and do not resell or pass minutes to others.
3. The quota of minutes
3.1 The Enterprise plan is pay as you go: 1.20 ₪ a minute before VAT, charged by the second, only for interpreted time.
3.2 Prices do not include VAT; VAT is added at payment, at the rate in force on the day of the charge.
3.3 The balance in the account counts minutes, not money. Every card charge buys minutes at the price of a minute that applies to the Organization on the day of the charge, and calls come off the balance of minutes.
3.4 The plan has no subscription fee and no bundle of minutes.
3.5 Unused minutes stay in the balance and carry on from month to month, with no expiry, for as long as the plan has not been cancelled or stopped. After a cancelling or a stop, clause 8.3 applies to the minutes left. The plan exists from the first payment until it ends under clause 16.2.
3.6 Nobody owes on this plan: when the balance reaches zero, new calls are refused and a call in progress is ended. Five minutes before that, a notice is heard on the call. The Organization never owes money for minutes.
3.7 Minutes the Organization bought are its usable quota. After it cancels the plan they stay usable for the time set in clause 8.3, and no money is returned for them in any case (clause 9.1).
4. The first payment and the level
4.1 The first payment, on joining, is an amount the Organization chooses itself, in whole shekels: at least 599 ₪ and at most 4,500 ₪, before VAT. The plan starts when that payment has been received.
4.2 The first payment is the first month's minimum (clause 6).
4.3 The minutes the first payment buys are the level: the number of minutes the balance is brought back up to at every charge under clause 5.
4.4 The Organization may change the level at any time. The lowest level is the minutes that 599 ₪ buys: 499.17 minutes (29,950 seconds). The highest level is the minutes that 4,500 ₪ buys: 3,750 minutes.
4.5 Changing the level charges nothing by itself: it applies from the next charge. Lowering the level below the present balance gives no money back and takes no minutes away.
4.6 No single card charge on this plan is more than 4,500 ₪ before VAT.
4.7 The amount of the first payment and the level are chosen and set by the Organization itself, not by Telfluent. Every such setting is recorded: who set it, when, from what to what, and under which version of this contract.
4.8 Every charge that brings the balance back up to the level is the Organization's own order of minutes, under the level it set.
4.9 The minutes bought this way are the Organization's usable quota. No money is returned for them (clause 9.1).
5. How the card is charged with nobody present
5.1 The card that paid the first payment is saved. By accepting this contract the Organization authorizes us to charge the saved card, with nobody from the Organization present at the charge, in the cases of this clause only.
5.2 Every 14 days: the card is charged for the minutes used, and the balance returns to the level. When the balance is at the level or above it, nothing is charged on that date.
5.3 Auto top-up: when fewer than 100 minutes are left in the balance, the card is charged at once and the balance returns to the level. This is part of the plan, not a setting that can be turned off.
5.4 At the end of every month of the plan: if that month's charges came to less than 599 ₪ before VAT, the shortfall to 599 ₪ is charged and becomes minutes in the balance, at the price of a minute (clause 6).
5.5 An amount under 5 ₪ before VAT is not charged on its own: it is added to the next charge, and the minutes it buys are given then. This holds for the shortfall to the monthly minimum and for the 14-day charge alike. Clause 4.6 prevails: such an amount that would take a charge above 4,500 ₪ before VAT stays, and is added to the charge after it. If the Organization cancels the plan before any further charge is made, that amount is not charged at all.
5.6 Every charge under clauses 5.2 and 5.3 is the price of the minutes missing to the level, plus VAT.
5.7 The plan's month begins on the day of the first payment, not on the first of the calendar month. The 14 days are counted from that same day.
5.8 One charge at a time: while a charge is unpaid, no other charge is made. When it is paid, the account is looked at again at once.
5.9 Every charge gets one tax invoice / receipt, sent to the account's email address.
5.10 Card payments are processed by Airwallex. Card details are typed directly into Airwallex's systems; we never see or keep the card number.
5.11 A new card that the Organization types on the secure payment page, to replace a card or to pay a charge that failed, becomes the saved card, and the authorization in clause 5.1 applies to it.
6. The monthly minimum
6.1 The monthly minimum is 599 ₪ plus VAT. It is a binding condition of the plan: there is no Enterprise plan without the minimum, and it cannot be turned off or lowered.
6.2 In every month of the plan the card pays 599 ₪ or the real usage, whichever is higher.
6.3 If the month's charges came to less than 599 ₪, the shortfall is charged at the month's end and becomes minutes in the balance (clauses 5.4 and 5.5).
6.4 The first payment is the first month's minimum: at the end of the first month no shortfall is charged.
6.5 Because of the monthly minimum the balance can stand above the level; then the card is not charged at the 14-day charge until the balance is under it again.
6.6 A month that ended while the account was suspended (clause 7) or frozen (clause 9) is charged no minimum. After cancelling, no further minimum is charged (clause 8).
7. A charge that fails
7.1 If a charge fails we try again over the following days. Meanwhile calls go on, as long as there are minutes in the balance.
7.2 If payment is not settled, on the tenth day after the charge first failed the account is suspended and calls are not accepted until it is settled, even if minutes are left in the balance. The minutes in the balance are kept.
7.3 Payment is settled by replacing the card on the secure payment page: the waiting charge is tried on the new card. When the charge is paid, the suspension is lifted and calls are accepted again.
7.4 A charge that failed is not replaced by a new one: it waits until it is paid.
8. Cancelling
8.1 The plan may be cancelled at any time, as long as no charge for the monthly minimum is unpaid. If the shortfall of a month that has ended was charged and not paid, it is paid first; after that the plan may be cancelled.
8.2 Any other charge that is unpaid at the moment of cancelling, that is, the 14-day charge or an auto top-up, is withdrawn and is never charged.
8.3 After cancelling, nothing more is charged. A plan cancelled within its first three months: the minutes left stay usable for one month from the day of cancelling, and then they lapse and can no longer be used. A plan cancelled after its first three months: the minutes left stay usable until they run out. In both cases the minutes are usable only until the account is closed for good under clause 8.6. The first three months are counted from the day of the first payment (clause 5.7). No money is returned for the minutes left or for minutes that lapsed, in any case.
8.4 An account whose plan was cancelled is not suspended while it has minutes left.
8.5 Cancelling is done on the Plan screen of the dashboard, or in a call with the voice assistant (clause 17). If a charge is being made at that very moment, cancel a few minutes later.
8.6 After the plan has been cancelled or stopped, the account's owner may close the account for good, even while minutes are left in it. The closing is done in the dashboard, and the account's owner types the confirmation sentence shown there himself: closing the account permanently, with no further claim. With the closing the Organization gives up the minutes left: it keeps no right and no claim to them, and no money is returned for them. The closing is final and cannot be undone.
9. No refunds; a disputed charge
9.1 No money is returned for minutes bought, in any case: not for a payment made, not for minutes that were not used and not for minutes that lapsed. The minutes the Organization bought are its usable quota. After cancelling they stay usable as set in clause 8.3: in a plan cancelled within its first three months, for one month from the day of cancelling, and then they lapse; in a plan cancelled after its first three months, until they run out.
9.2 If a charge of ours is disputed with the card company or the bank, the account is frozen at once and calls are not accepted. To clarify and settle: legal@telfluent.co.il.
9.3 We give the card company our record: the acceptance of this contract (clause 19); the level the Organization chose and when it chose it (clause 4.7); the card's authentication; the charge; its tax invoice / receipt; and the use of the service.
9.4 If the money of a payment nevertheless goes back to the Organization, for whatever reason: the minutes that money bought are taken off the balance, never more than are left in it, and the charging of the card stops. Minutes bought by other payments stay usable as after a cancelling on that day (clause 8.3), subject to clause 9.2. Once they have run out or lapsed, the plan has ended.
10. Arms
10.1 On the Enterprise plan the Organization works through arms. An arm is a person on the Organization's side, recognised by his phone number. Each arm has its own join code and its own list of workers. The account's owner is an arm too. The number of arms is not limited.
10.2 A worker who joins with an arm's code belongs to that arm, and gets a two-digit number in its list, from 10 to 99.
10.3 Arms do not mix: each arm reaches only the workers in its own list, and each worker rings only his own arm.
10.4 A worker can always ring his own arm on 09-376-1100. No allocation refuses that call or ends it. Only a balance that has reached zero, a suspended account or a frozen account stops it.
10.5 The Organization manages the arms, the codes, the lists and the allocations in its dashboard.
10.6 The codes are the Organization's to guard. The Organization is responsible for whom it gives a code to, and for every use of the service by its arms and its workers. Every minute they use comes off the Organization's balance. The Organization may at any time replace an arm's code and remove a worker's phone.
10.7 You inform your arms and your workers that calls are interpreted automatically. You are responsible for their data that you give us.
11. Allocations per arm, and workers' own use
11.1 The Organization may give each arm a monthly allocation of minutes. All calls by the arm and by the workers in its list, on both numbers, in the plan's month, count together in the allocation.
11.2 An allocation is a ceiling. It sets no minutes aside for the arm, and the allocations together may add up to more than the balance.
11.3 By default an allocation is soft: after it is used up, calls go on as long as the Organization's balance has minutes. The arm is shown in the dashboard as over its allocation, and every minute is recorded under its name.
11.4 The Organization may set in the dashboard, with a switch beside each arm, that the arm's allocation is hard. Then, once the allocation is used up, the arm's own calls and its workers' own use are refused until the start of the plan's next month, and a call in progress is ended after a notice five minutes before. A worker's call to his own arm is not stopped (clause 10.4).
11.5 When the Organization's balance reaches zero, every call stops, under any allocation.
11.6 A call's minutes count for the arm the caller belonged to when the call was made, and stay recorded there even if he later moved to another arm or was removed.
11.7 A worker's own use of 09-376-1076, that is, a worker using the number by himself (for example at a clinic or a bank), is off on this plan until the Organization opens it. The Organization opens it for a whole arm or for one worker, with or without a monthly allocation of minutes for a worker. When such a worker's allocation is used up, his own use is refused until the start of the plan's next month. Own use also counts inside the arm's allocation.
12. An arm's phone number
12.1 A phone number registered as an arm is tied to the Organization's plan. While it is tied, no separate Telfluent account can be opened with it.
12.2 The tie lasts until the number's holder disconnects it himself, in a call with the voice assistant on 08-376-2600, after proving the number is his with a code sent to it by SMS; or until the Organization changes it under clause 12.5.
12.3 When an arm disconnects its number, the Organization is told. This is a fact of the plan, not a setting. The Organization is not told of an attempt to open an account with that number, nor of any private act of the number's holder outside the Organization's account.
12.4 After the disconnection that arm's code stops working, and the workers who were in its list stay in the Organization's account.
12.5 The Organization may replace an arm's phone, except the phone of the account's owner, and may remove an arm after moving its workers to another arm.
13. Changes to prices and terms
13.1 We may change prices and terms, this contract included.
13.2 The Organization keeps the price it joined at until a change applies to it under this clause.
13.3 A change applies from the start of the first month of the plan that begins at least 14 days after we give notice by email to the account's address. A month that begins sooner stays at the earlier price and terms, and the change waits for the month after it.
13.4 A second notice is sent by email on the day of the first charge at the new price.
13.5 A change of price adds no minutes to the balance and takes none from it: minutes already bought remain minutes.
13.6 If you do not agree to a change, you may cancel before it applies (clause 8); that is your remedy. Continuing the plan after the change applies is acceptance of the change.
13.7 A new version of this contract replaces this version in the same way, and carries a version label of its own.
14. A negotiated rate
14.1 The price on this plan is the price in this contract. Another price is asked for only in a call with the voice assistant.
14.2 The request is passed to Telfluent's owner only for a paying customer: an Organization whose plan is running and which has a card charge that went through. The voice assistant only passes the request on; it promises no price.
14.3 Another price is valid only if it is given in a written order from Telfluent's owner.
14.4 There are no custom contracts. Such an order changes the price only; the rest of this contract applies as written.
15. Ending the plan from our side
15.1 We may stop an Organization's plan, by notice by email.
15.2 In that case nothing more is charged, and the minutes left stay usable as after a cancelling on the day the plan was stopped (clauses 8.3 and 8.6): if the plan was stopped within its first three months, for one month from the day it was stopped, and then they lapse; if it was stopped after its first three months, until they run out.
16. Leaving the plan
16.1 Nobody moves into the Enterprise plan or out of it by changing plan.
16.2 The plan ends when it has been cancelled or stopped and the minutes left in it have run out or lapsed (clause 8.3), or when the account is closed for good (clause 8.6).
16.3 After the plan has ended, a new account may be opened with the same phone number, as a new customer.
16.4 Nothing is carried over from the earlier account to the new one: no workers, no arms, no card, no settings or allocations, and no right or continuation from the earlier account.
17. The voice assistant and privacy
17.1 Telfluent's phone line, 08-376-2600, is answered by an automated voice assistant ("the voice assistant"). The plan can also be set up in a call with it; this contract is always accepted on the secure payment page (clause 19).
17.2 Card details, an email address and invoice details are not given on a call: they are typed only on the secure payment page.
17.3 We do not record what you say to the voice assistant and we do not keep it: neither the sound nor the words. Neither does the speech service. Logs of the voice assistant's use, which can include what was said as text, are kept by the provider of the assistant's language service for up to 30 days, to monitor for abuse (such as child sexual abuse material). They are kept longer only where the law requires it, or where it is needed to protect that service or others from harm. These logs cover Telfluent's use of that service as a whole, and we attach no identifier of you to them. The conversation is not kept, but the actions are on the record: every action carried out in your account through the voice assistant is written in the account's log of changes, like any other change to the account: what was done and when. So what was done in your account can always be checked. We keep what you give us to open or change your account, a request you ask us to pass to a person, and, as for every call, the phone that called, the time, the length of the call and the language you chose.
17.4 On interpreted calls: we do not record calls and we do not keep what was said: neither the sound nor the words.
17.5 Airwallex is the only provider named in this contract (clause 5.10). The current list of providers, what each does and where, is given on request: privacy@telfluent.co.il.
17.6 Every other privacy matter is set by the privacy policy on telfluent.co.il.
18. Which document prevails; liability; governing law and jurisdiction
18.1 The Enterprise plan is governed by this contract and by Telfluent's general terms of use, as published on telfluent.co.il. Where the two conflict, this contract prevails.
18.2 In particular: in place of the general terms' provisions on a monthly subscription, on minutes that reset every month, on cancelling and on a charge that fails, clauses 3 to 8 of this contract apply on this plan.
18.3 What this contract does not settle is settled by the general terms.
18.4 The service's liability is limited to the fees you paid in the 12 months before the event. The service is not liable for decisions taken on the basis of an interpretation.
18.5 This contract is governed by the law of Israel. The courts of Tel Aviv have jurisdiction.
18.6 The Hebrew version prevails. The versions in other languages are courtesy translations only.
18.7 The general terms say so themselves, in this sentence added to them: "The Enterprise plan is governed, in addition to these terms, by the Enterprise plan contract accepted on joining it, and where that contract and these terms conflict, the contract prevails."
19. Acceptance, version and copy
19.1 This contract is published on telfluent.co.il.
19.2 The contract is always accepted in the same way: by ticking the box on the secure payment page, when joining the Enterprise plan. Whoever joins by phone ticks the box on the payment page he receives as a link by SMS.
19.3 Without accepting the contract, the plan cannot be joined.
19.4 The acceptance is recorded with us together with the version of the contract that was accepted.
19.5 After joining, a copy of the contract is sent by email to the account's address.
19.6 Whoever accepts the contract confirms that he is authorized to do so on the Organization's behalf.

19.8 Joining the Enterprise plan requires an identity check of the person who accepts this contract for the Organization, as set out in the appendix to the Enterprise plan. We may use the record of that check as evidence in a chargeback and in any financial, signing or terms dispute.
